Terms of sale
The commercial rules behind every quotation and pro-forma invoice we issue.
Last updated 8 November 2026
01Scope
These terms govern quotations, orders and deliveries by Smwart Technology Co., Ltd. ("we"). A purchase order, a signed pro-forma invoice or a written acceptance by email all confirm that you ("the buyer") accept them. Any buyer terms that conflict are excluded unless we agree to them in writing.
02Quotations
Quotations are valid for 30 days unless stated otherwise. Prices are in USD unless the quote names another currency, and are exclusive of any duty, VAT or local tax unless the quote explicitly says DDP.
Display pricing tracks panel and driver-IC cost. If a quotation has expired, we re-confirm the price before accepting an order; we do not silently re-price a confirmed order.
03Orders and acceptance
An order becomes binding when we countersign the pro-forma invoice or confirm acceptance in writing. Production slots are allocated in that moment — not on receipt of an enquiry.
04Payment
Standard terms for a first order are 30% deposit with the order and the balance before shipment. Repeat customers may apply for net-30 terms against a credit check. We accept T/T, card and PayPal; bank charges are borne by the payer.
- Goods remain our property until the invoice is paid in full.
- Late payment may pause production or hold a shipment already booked.
05Lead times
Stock items ship within 3–7 business days. Made-to-order panels and custom sizes take 15–30 business days after deposit and artwork approval. Lead times are estimates given in good faith; if a delay exceeds 15 business days beyond the estimate you may cancel the delayed portion and receive a refund for it.
06Delivery, risk and title
Delivery terms follow Incoterms 2020 as named in the quotation — EXW Shenzhen unless another term is written. Risk passes as set out in that Incoterm. Where we arrange freight as a service, we do so as the buyer's agent and the carrier's liability limits apply.
07Inspection and acceptance
Inspect the goods on arrival. Report visible damage or short shipment within 7 days of delivery, with photographs of the packaging and the unit. Faults that are not visible on inspection are covered by the warranty instead, so a missed 7-day window does not remove your warranty rights.
08Returns within 30 days
Unused goods in their original packaging may be returned within 30 days of delivery for a refund of the goods value. Tell us first — an unannounced return cannot be cleared through customs.
Return freight is paid by the buyer unless the return is due to a defect or our error. Refunds are issued within 10 business days of inspection at our warehouse. Custom-cut panels, printed artwork and programmed controllers are made to your specification and cannot be returned unless faulty.
09Warranty
Goods carry a 12-month warranty against manufacturing defects, with the terms and the RMA procedure set out on the Warranty & RMA page, which forms part of these terms.
10Liability
Our liability for any claim is limited to the invoice value of the goods concerned. We are not liable for lost profit, lost business, or indirect and consequential loss. Nothing here excludes liability for death, personal injury or fraud, or any liability that cannot be excluded by law.
11Intellectual property
Buying our products does not grant a licence to our trademarks, firmware or documentation. Under an OEM agreement the buyer warrants that any logo, artwork or content supplied to us is cleared for use, and indemnifies us against third-party claims arising from it.
12Governing law
These terms are governed by the laws of the People's Republic of China. The parties will attempt to resolve any dispute by negotiation within 30 days; failing that, the dispute is referred to the Shenzhen Court of International Arbitration (SCIA). The United Nations Convention on Contracts for the International Sale of Goods applies.
13Force majeure
Neither party is liable for a delay caused by events beyond its reasonable control — natural disaster, epidemic, war, port closure, export-control action or a shortage of energy. The affected party notifies the other within 10 days; if the event lasts beyond 60 days either party may cancel the undelivered balance without penalty.
